Article 1: Purpose and Scope of the Platform

1.1. Nature of the Platform The OLEATRADE platform is an independent electronic marketplace that connects professional sellers and buyers of olive oil and related agricultural products. The platform acts solely as an intermediary and does not participate as a buyer, seller, or party to any transactions conducted between users.

1.2. Scope of Services The platform provides tools for listing products, submitting bids, participating in tenders or auctions, and facilitating secure communications. Additional services, such as logistics or escrow, may be offered at the discretion of OLEATRADE and are subject to separate fees.

Article 2: Registration and Access

2.1. Eligibility Registration is restricted to professional entities, including but not limited to mills, exporters, importers, and other legally recognized businesses in the olive oil or agricultural sector. Individuals or non-professional entities are not permitted to register.

2.2. Subscription Fees The annual subscription fee is 3,000 Tunisian Dinars (TND), payable upon registration or renewal, and is non-refundable. During promotional periods, OLEATRADE may offer limited discounts, such as a 50% reduction to 1,500 TND, at its sole discretion. Such offers are subject to availability and may be withdrawn without notice. Additional fees for optional services, including logistics, verification, or escrow, will be communicated at the time of service selection.

2.3. Registration Process Users must provide accurate, complete, and up-to-date information during registration, including business credentials and contact details. OLEATRADE reserves the right to approve or reject registration requests without an obligation to provide reasons. Rejected applicants will be notified, and any fees paid will be refunded if registration is declined.

2.4. Account Security Accounts are non-transferable and exclusive to the registered entity. Users are responsible for maintaining the confidentiality of their login credentials and for all activities conducted under their accounts. Users must promptly notify OLEATRADE of any unauthorized access or security breaches.

Article 3: User Obligations and Professional Conduct

3.1. Accuracy of Information Users must ensure that all information provided, including product listings, certifications, and business details, is accurate, current, and compliant with applicable laws and regulations.

3.2. Platform Usage All negotiations, bids, tenders, auctions, and transactions must be conducted exclusively through the platform's designated tools, such as internal messaging, bidding systems, and document workflows.

3.3. Prohibited Activities Users are prohibited from using the platform for non-commercial purposes, data scraping, or unfair competition; attempting to create, support, or contribute to a competing platform using information or relationships obtained through OLEATRADE; and engaging in fraudulent, deceptive, or unlawful activities.

3.4. Consequences of Non-Compliance Violations of this article may result in immediate account suspension or termination without refund of fees. Circumventing platform processes will incur a contractual penalty of 30,000 TND, payable to OLEATRADE, without prejudice to additional claims for damages. Creation or support of a competing platform will incur a penalty of 100,000 Euros, converted to TND at the prevailing exchange rate, in addition to any further claims for damages.

Article 4: Transactions and Liabilities

4.1. Binding Contracts Transactions conducted through the platform constitute legally binding agreements between the involved users and are governed by applicable commercial laws.

4.2. User Responsibilities Users are solely responsible for verifying product quality, compliance with standards, delivery arrangements, and payment obligations. OLEATRADE does not guarantee or assume liability for product quality, delivery timelines, or financial disputes arising from transactions.

4.3. Dispute Resolution Users agree to attempt amicable resolution of disputes through the platform's mediation process before pursuing legal action. OLEATRADE may, at its discretion, facilitate mediation but is not obligated to resolve disputes.

Article 5: Data Protection and Confidentiality

5.1. Data Ownership All data generated on the platform, including listings, bids, proposals, and communications, is the exclusive property of OLEATRADE. Users may not copy, export, or use such data outside the platform without prior written consent from OLEATRADE.

5.2. Data Protection OLEATRADE complies with Tunisian data protection laws and applicable international standards. User data may be processed by third-party service providers, including those located outside Tunisia, in compliance with data protection regulations.

5.3. Confidentiality Users must maintain the confidentiality of all platform-related information and may not disclose it to third parties without OLEATRADE's authorization.

Article 6: Fees, Billing, and Taxes

6.1. Payment of Fees Subscription fees are due upon registration or renewal and are non-refundable, except in cases where registration is rejected. Additional fees for optional services will be invoiced separately and are also non-refundable.

6.2. Taxes and Duties Users are responsible for all applicable taxes, duties, and regulatory levies related to their transactions and platform usage.

6.3. Billing Disputes Any disputes regarding fees or invoices must be reported to OLEATRADE within 14 days of receipt. Failure to report within this period waives the right to dispute.

Article 7: Amendments to Terms

7.1. Modification of Terms OLEATRADE may amend these terms, fees, or services at any time. Amendments will be communicated via the platform or email and take effect upon publication, unless otherwise specified.

7.2. User Notification Continued use of the platform after amendments constitutes acceptance of the revised terms. Users who do not agree with amendments may terminate their accounts, with no refund of fees.

Article 8: Suspension and Termination

8.1. Grounds for Suspension or Termination OLEATRADE may suspend or terminate a user's account for breaches of these terms, failure to pay fees, suspected fraudulent or unlawful activity, or actions that compromise the platform's integrity or security.

8.2. Consequences Suspended or terminated accounts forfeit all fees paid and are not entitled to compensation. Terminated users remain liable for any penalties or damages incurred prior to termination.

Article 9: Applicable Law and Jurisdiction

9.1. Governing Law These terms are governed by the laws of Tunisia.

9.2. Jurisdiction Any disputes arising from these terms or platform usage are subject to the exclusive jurisdiction of the Primary Court of Tunis, except where OLEATRADE seeks urgent or injunctive relief in another competent jurisdiction.

Article 10: Communications

10.1. Operational Communications Users consent to receive essential notifications, including bid updates, auction statuses, and transaction alerts, via the platform or registered email. Critical communications cannot be disabled.

10.2. Marketing Communications Where permitted by law, users may receive service-related announcements. Notification preferences for non-essential communications can be managed within the platform.

Article 11: Limitation of Liability

11.1. Platform Role OLEATRADE is not liable for losses arising from transactions between users, including non-delivery, defective products, or payment disputes, or for interruptions in platform availability due to maintenance, technical issues, or force majeure.

11.2. Indemnity Users agree to indemnify OLEATRADE against any claims, losses, or damages arising from their use of the platform or breach of these terms.

Article 12: Miscellaneous

12.1. Force Majeure OLEATRADE is not liable for delays or failures in performance due to events beyond its reasonable control, including natural disasters, governmental actions, or technical failures.

12.2. Severability If any provision of these terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

12.3. Entire Agreement These terms constitute the entire agreement between OLEATRADE and users, superseding any prior agreements or understandings.
